企业经营者难免通过许可协议而获得相应技术的实施能力，而知识产权权利人出于多种考虑往往在许可协议中设置禁止转让条款。在获得许可后，在被许可人发生并购的情况下，新的主体是否可以不受禁止转让条款的影响而当然继承原有许可合同，国外无论是实务界还是学术界都存在一定争议，而国内目前对该问题未能足够重视。在探讨国外案例，研究其对我国实践的可借鉴性的基础上，分析我国现有法律与实践，思考在我国企业并购行为对知识产权许可协议的影响。

License agreements are used to acquire capacities to carry out certain technology skills by business operators and in this regard licensees may set the non-assignability clause in the license agreement.After the license agreement becomes effective, the licensor may be involved in merger and acquisitions （M＆A）. It is however questionable whether the new entity survived after the M＆A can perform the license agreement rightfully. This question seems that has not been placed sufficient attention by Chinese professionals. This article discusses the validity of license agreements in the context of M＆A by considering cases from abroad and analyzing current laws.
