投票权征集本是上市公司为防止股东大会因到会股东人数过少无法满足定足数要求，影响其决议效力而采取的措施。迄今为止，世界发达国家及地区均已建立了规范投票权征集行为的法律规则。不过，真正在公司治理实践中发挥重要作用，可称为“活法”的当数美国及我国台湾地区的投票权征集规则。而在我国大陆地区投票权征集的立法基本处于空白。因此，我国应当借鉴美国和台湾地区的立法并结合国内上市公司的具体情况来制定我国的投票权征集制度，其立法宗旨为支持中小股东发起挑战大股东的投票权征集行为并在立法上向其适度倾斜。

Solicitation of voting rights is adopted by the listed company because the number of shareholders is unable to meet the demand of the given number. So far, the world developed countries and regions have established legislation of solicitation of voting rights. However, solicitation of voting rights in the United States and China＇s Taiwan region, called the ＂living law＂, actually plays an important role in corporate governance practice,voting solicitation legislation is basically a blank state in mainland of China. There- fore, China should learn from the United States and Taiwan＇s legislation and formulate our solicitation of voting rights according to the specific condition of the listed company. The purpose of the legislation is to support small and medium-sized shareholders challenge big shareholder by proxy solicitation behavior and moderately inclined to it in legislation.
