试行外商投资负面清单和准入前国民待遇管理，是我国在开放战略指导下的重大改革。本文分析了负面清单管理和国际投资规则，讨论和评估了中国（上海）自由贸易试验区负面清单（2013版）和相关配套改革。就编制负面清单（2014版）而言，本文建议的改进方向有：提高外商投资政策的协调性；夯实负面清单的法理基础；改进行业分类方法；扩大服务业的对外开放度；提高行政管理透明度等。

The implementation of negative list and pre-establishment national treatment management con- cerning foreign investment is a major reform under the guidance of opening-up strategy in China. This paper analyzes negative list management and international investment rules, and evaluates negative list （2013） in China （Shanghai） Pilot Free Trade Zone and related reform. As for the establishment of negative list （2014）, it provides the improvement directions such as the increase in the coordination of foreign investment policy, the reinforcement of the legal basis of negative list, the improvement of industry classification, further opening-up of service sectors and the increase in administrative management transparency.
