基于管制制度视角,以中铝海外并购力拓为样本,采取探索性案例研究方法,发现管制制度在法律、政治、规则等层面对我国企业的跨国经营影响较大。企业可采取组建并购团队、海外经营前期调研、高度重视与并购相关的法律法规、淡化国有企业身份、选择合适的并购策略和强化企业公关活动等措施克服管制制度产生的障碍。
基于管製製度視角,以中鋁海外併購力拓為樣本,採取探索性案例研究方法,髮現管製製度在法律、政治、規則等層麵對我國企業的跨國經營影響較大。企業可採取組建併購糰隊、海外經營前期調研、高度重視與併購相關的法律法規、淡化國有企業身份、選擇閤適的併購策略和彊化企業公關活動等措施剋服管製製度產生的障礙。

Based on the control system perspective to the sample that Aluminum acquisitions Rio Tinto, exploratory case study method is adopted to explore that control institution can have great impacts on multinationals in law, politics and rules. So enterprise can overcome control institutional barriers from comprehensive research, formation of merger and ac- quisition team, attaching great importance to the legal issues associated with M＆A, diluting the identity of state-owned enterprises, selecting the appropriate acquisition strategy, strengthening public relations activities.
