中美2015年将启动负面清单谈判,系统地分析美国已经达成的自由贸易协定和双边投资协定,为中国谈判提供参考,对我国合理设置负面清单维护国家利益大有裨益。本文基于2005年美国—乌拉圭双边投资协定、2007年美国—韩国自由贸易协定、2008年美国—卢旺达双边投资协定,以美国的负面清单为主要研究对象,从行业选择、涉及原则和限制措施等方面予以研究;在此基础上,本文为中国在未来的中美负面清单谈判提供了方向性指导：选择性地开放不同行业;对敏感度不同的行业采取不同的限制措施;对影响力不清晰的产业设置“互利互惠”缓冲带;将国有企业列入第二类负面清单;条款设置须具有长期性和前瞻性等。

China and USA are going to make a negotiation on negative list in 2015. A systema- tic analysis of American FTA and BIT provides reference for Chinese negotiations and is of great benefit to the rational establishment of negative lists and the protection of national interests. Based on the US-Uruguay Bilateral Investment Treaty signed in 2005, the US-Korea Free Trade Agree- ment signed in 2007 and the US-Rwanda Bilateral Investment Treaty signed in 2008, this pa- per takes negative lists of the United States as study objective and studies American FTA and BIT from the perspectives of industry choices, the principles involved and restrictions. Then it puts forward directional guidance on the China-US negative list negotiations in the future： opening up selectively; taking different restrictions on industries with different sensi- tivities; setting up mutual-benefit buffer zones for industries with unclear influences; inclu- ding state-owned enterprises in the second-category negative list; setting long-term and forward-looking provisions.
