基于2002—2010年的面板数据,运用广义最小二乘法实证分析累积投票制、利益侵占与公司绩效之间的关系。结果表明,上市公司采用累积投票制后比采用之前的绩效要好,而且利益侵占程度显著降低;利益侵占程度是累积投票制影响公司绩效的中介变量,即采用累积投票制的公司降低了利益侵占程度,而这一治理效应提升了公司绩效。
基于2002—2010年的麵闆數據,運用廣義最小二乘法實證分析纍積投票製、利益侵佔與公司績效之間的關繫。結果錶明,上市公司採用纍積投票製後比採用之前的績效要好,而且利益侵佔程度顯著降低;利益侵佔程度是纍積投票製影響公司績效的中介變量,即採用纍積投票製的公司降低瞭利益侵佔程度,而這一治理效應提升瞭公司績效。
기우2002—2010년적면판수거,운용엄의최소이승법실증분석루적투표제、이익침점여공사적효지간적관계。결과표명,상시공사채용루적투표제후비채용지전적적효요호,이차이익침점정도현저강저;이익침점정도시루적투표제영향공사적효적중개변량,즉채용루적투표제적공사강저료이익침점정도,이저일치리효응제승료공사적효。
Based on the panel data of 2002 -2010, this paper applies the generalized least squares re- gression to analyze the relationship between the cumulative voting system, tunneling and corporate perform- ance. The empirical results show that after adopting cumulative voting system, the performance of listed companies is better than before, and tunneling is significantly reduced. Using the mediating effect model, the degree of tunneling is conf＇trmed to be the mediating variable of cumulative voting system affecting the company＇s performance. That is to say, the cumulative voting system reduces the tunneling, and this gov- ernance effect enhances the corporate performance.
