除名事由之界定关乎公司除名制度的完善程度。就法律规定的除名事由而言,应当注重定性规定和定量规定。就公司章程所规定的除名事由而言,其应当来自法律的概括授权,且内容不得违反关于除名事由的定性规定,同时,除名事由条款应当经全体股东同意方可成为公司章程条款。就公司选择的其他除名事由而言,除肯定公司可为此种行为之外,应当在除名程序上由法院对该类事由进行审查。《公司法解释三》第17条应当在除名事由的定性问题上予以修正,同时扩大除名事由之列举规定。

Definition of reasons for expunging names from a company has to do with the degree of perfection of the system. As for legal reasons for the expunging, it has to do with qualitative and quantitative regulations. Reasons included in a company＇s regulations should be included in general endowment and it should not be against the qualitative regulations. At the same time, articles of ex- punging should be agreed by the board of stock holders. As for other reasons, except for admitted ac- tion, it should be investigated by the court in the process. Article 17 of Company Law Ⅲ should be corrected and enlarge the listing regulations of the reasons.
