中国破产法设置劣后债权的法理依据在于,区分不同债权人地位、债权性质等因素以实现公平偿债,适应破产原因采＂停止支付＂判断标准致破产财产清偿普通债权后仍有剩余的可能性,回应公司法引入＂衡平居次原则＂和金融法中次级债券之需要;可行性在于劣后债权与公共政策的弱相关性。破产法应将除斥债权转为劣后债权,认可约定劣后债权,规定股东利润支付请求权及衡平居次原则下的母公司债权等具体劣后受偿类型,并限制劣后债权人权利,完善相关程序性规定。

It is necessary to provide subordinate credit in Chinese bankruptcy law to clarify the elements such as the status of different creditors,as well as the nature and cause of the debt,to realize fair debt-paying.To provide subordinate credit can also ensure that those enterprises which are into bankruptcy because of payment suspension are still possible to have something left after paying off common debts.It is also a response to the need of including equitable subordinate principle to company law and setting up subordinate bond system in finance law.The feasibility of providing subordinate credit also comes from its weak correlation with public policy and the characteristic of technical norms in allocation sequence.Bankruptcy law in China should alter scheduled credit into subordinate credit,ratify the legal validity of subordinate credit,regulate specific types of subordinate payment such as shareholder＇s right for profit and parent company＇s obligation rights under equitable subordinate principle,limit the rights of subordinate creditors and improve relevant procedural regulations.
