国际商事合同适用非国内规则是国际社会合同准据法发展的重要走势。非国内规则虽然不具有法律约束力，但因其较强的实践操作性而逐渐被各国法院和仲裁机关所适用。在国际商事合同纠纷的解决中，当事人可以协议选择适用国际条约和国际惯例等非国内规则；当事人没有选择时，法院可以依职权主动适用非国内规则。但由于非国内规则本身的局限性、法院地法发展水平的制约以及强行性规范和公共秩序的限制，非国内规则在国际商事合同法律适用中不具有普及性，因此，我国立法机关和司法机关应从完善非国内规则和加强立法及司法两方面入手，推动非国内规则在国际商事合同中的适用。

As the theory of the governing law of contracts is constantly evolving, non-state rules have been applied in international commercial transactions. Non-state rules are not legally binding, but have gradually been adopted by courts and arbitration agencies in many countries owing to their strong practical nature. Non-state rules could be allowed as the applicable law to an international commmerical contract upon the principle of party autonomy or be applied by the judiciary actively. But owing to the limits of the non-state rules themselves, restrictions of the development level of local laws and confinement of the public order, non-state rules can not enjoy popularity in international commercial contracts. Therefore, the legislation and judicial agencies should embark from two aspects to promote the application of non-state rules in international commercial contracts： one is perfecting non-state rules and the other is reinforcing legislation and judiciary laws.
