我国电子商务立法面临着巨大的挑战：一是技术的快速变化和创新的持续不断,使得电子商务成为一个内涵和外延都在不断扩展的概念,无法对其活动边界做出精确界定;二是电子商务的不同利益相关者之间存在着广泛的、多元的利益冲突。目前立法主要面临急进与缓进、综合与分立、电子商务与传统商务、国际接轨与中国特色、自我治理与法律治理、自下而上与自上而下等六个方面的问题,这些问题涉及不同观点之间由来已久的激烈争议,以及立法者如何在不同的观点之间加以选择或者进行平衡。相对于大多数立法领域,互联网和电子商务领域不同观点之间的差异和对立更为突出,也更难达成共识,而这也使得立法者所面对的抉择和平衡更加困难。

The legislation of China＇ s e-commerce industry is facing significant challenges： the first is the rapid changes brought by technology and the innovation, which will make e-commerce to be an extended concept in terms of both connotation and extensiom and the second is the extensive and diversified interests conflicts among different stakeholders of e-commerce. At present, there are six problems with the legislation of China＇ s e-commerce industry, which are related to dispute among different opinions and how to choose and keep balance among these opinions. Compared to most fields of legislation, differences and opposition among different opinions in the field of internet and e-commerce is more outstanding and difficult to solve, which makes it more difficult for the legislators to choose and tradeoff.
