本文以沪深主板上市公司实施《企业内部控制配套指引》为背景，就中国上市公司内部控制缺陷披露制度实施效果及其制约因素进行探究。研究发现：由于监管力度宽松，现阶段上市公司内控缺陷披露及其缺陷类型的划分不能客观地反映披露公司内部控制的真实状况，且上市公司内部控制缺陷披露行为存在倒置趋势。上述结论为中国上市公司披露其内部控制缺陷的动机提供新的经验证据，同时为监管者、投资者在制定相关制度以及投资决策方面提供有益参考。

Based on the background of the implementation of Guidelines for Enterprise Internal Control, this paper explores the effectiveness of internal control deficiencies disclosure system and its influencing factors.It is found that because of the relaxed supervision, the disclosure of internal control deficiencies and the division of internal control deficiencies type can not objectively reflect the real condition of the disclosure of internal control,and the behaviors of the disclosure of internal control deficiencies inverte the trend.The findings provide a new empirical evidence of disclosing the motivation of the listed companies'internal control defects, and the beneficial reference for the regulators and investors making related system and investment decisions.
