我国《公司法》虽规定公司章程可以对股东优先购买权的具体适用作出变通，但在公司章程自治与股东优先购买权的关系上仍然存在空白。通过对股东优先购买权章程自治中常见问题进行分析，提出了在公司章程中对股东优先购买权作出变通规定时所应遵循的股东知悉原则与目的性检验原则。在司法实践中应当从公司章程修改时间、股权转让双方的协商情况、股权转让价格三个方面入手，判断公司章程的修改是否侵犯了公司小股东的股东优先购买权。

T he Company Law of China has stipulated for the adaptations in the application of articles of association of limited liability company .However ,there is no rule to the adjustment of the relationship be‐tween the autonomy in articles of association and the privileged allocation to stockholders .This article ana‐lyzes disputed problems about autonomy of the privileged allocation to stockholders and proposes that the autonomy of shareholders for the privileged allocation should stick to the principle of purpose inspection and shareholder knowing .In order to judge whether the amendment of the articles of association infringes on the privileged allocation to small stockholders ,we should concern the time of the amendment to articles of association ,bilateral negotiation of stock transfer and the price of stock transfer .
