建设工程价款结算中，“黑白合同”及补充协议纠纷是普遍存在的现象，究其原因，发包人为了规避政府监管和法律法规的强制性规定，利用自身优势地位与承包人签订“黑合同”或者补充协议。“黑白合同”和补充协议是否具有法律效力跟项目类型和签订的时间节点等因素有关。如何正确判断不同表现形式下“黑白合同”和补充协议的法律效力是当前亟待解决的问题。本文从补充协议和“黑白合同”判断准则、签订时间、合同表现形式、产生原因、法律效力、生效要件等六个方面对“黑白合同”和补充协议进行综合分析。

In construction engineering settlement account, the dispute of "black-and-white contract" and the supplemental agreement is the common phenomenon. Investigating its reasons finds that, in order to avoid government regulation and the mandatory provisions of the laws and regulations, the employers use their dominant position to sign the "black-and-white contract"or supplemental agreement with the contractors. If the "Black-and-white contract" and supplemental agreement have the legal force is related to the project types and signed time node and other factors. How to correctly determine the legal effect of the"black-and-white contract"and supplemental agreement is a problem urgent to be solved. This paper comprehensively analyzed the "black-and-white contract" and supplemental agreement from judgment criterion, contract time, contract forms, causes, legal effect, effective elements and other aspects.
