根据深市创业板420家上市公司高管离职及持股情况,利用 Logistic 模型对高管离职的因素进行实证分析。结果发现:高管持股比例越大,离职的可能性越小;企业的盈利能力越好,高管离职的可能性越低;企业的独立董事人数越多,外部监管制度越好,高管离职的可能性越大。据此提出了建立合理的高管薪酬与持股比例,完善上市公司高管薪酬信息披露等措施。

According to the situations of senior executive turnover and shareholding in 420 listed compan-iesof Shenzhen GEM,the Logistic regression model was used to make an empirical analysis on the influencing factors of senior executives separation. The results showed that the more shares the executives held,the smaller the possibility of their separation was;the better the Enterpriseˊs profit ability,the less likely the executives left;the more independent directors the company had,the better the external supervision system,the greater the chance of executive turnover. Accordingly,it is suggested to set up reasonable executive pay and shareholding proportion,and to perfect the information disclosure of executive salary in listed company.
