并购已经成为许多企业的战略方向,是一种有效的外部知识获取方式.技术知识转移在并购整合过程中具有重要作用.产权的刚性转移和有形资产的整合都不能保证技术知识在并购整合中进行有效的转移,事实上应根据技术知识的自身特性探索合适的转移方式.基于此,从技术知识的特殊性出发,借鉴成熟的技术知识转移分析框架,以转移主体、转移情境、转移方式和转移过程这四个方面为一个完整的分析系统,对企业并购整合后的技术知识转移活动进行全面研究.

Merger and acquisition has become a strategic direction of many enterprises,which is a way of ac-quiring external knowledge.This paper analyzes the importance of merger and acquisition integration tech-nology in the process of knowledge transfer and points out that the rigid property rights transfer and tangi-ble assets integration cannot guarantee technical knowledge of the merger and acquisition integration.Ef-fective transferring need starting from the features of technical knowledge to find the right way.Based on this,this paper,starting from the particularity of technical knowledge,draw lessons from mature techno-logy and knowledge transfer framework and from such aspects as the actors,situation,content and media to analyze the process of technology and knowledge transfer of merger and acquisition integration.
